Descrizione e obiettivi formativi
Il Corso forma laureati in grado di operare nell'ambito dell'economia e della gestione di imprese e aziende, private e pubbliche, delle professioni contabili e come giurista d’impresa. Il Corso fornisce i modelli, le tecniche e le metodologie fondamentali per la comprensione del sistema economico, dei mercati, delle dinamiche competitive ed evolutive delle aziende di produzione di beni e servizi. Inoltre, offre le conoscenze di base per la gestione e il controllo dei processi di innovazione che interessano grandi imprese, PMI, aziende e pubbliche amministrazioni.
Il Corso è articolato su tre anni con un piano di studi che prevede un biennio di formazione comune, il terzo anno di formazione specifica e una dissertazione finale. Il Corso individua quattro aree di apprendimento: aziendale, economico, matematico-statistico, giuridico.
In particolare, gli insegnamenti previsti per i primi due anni di formazione comune comprendono: Economia aziendale, Economia e gestione delle imprese, Contabilità e bilancio, Organizzazione Aziendale, Microeconomia e Macroeconomia, Matematica generale, Matematica finanziaria e Statistica, Istituzioni di diritto privato, Istituzioni di diritto pubblico, Diritto commerciale, oltre che la prova di lingua ed una prova di informatica.
Gli insegnamenti del terzo anno comprendono temi specifici volti a permettere il raggiungimento degli obiettivi educativo-formativi previsti per ciascun curriculum del corso.
Lo studente iscritto al curriculum Management approfondisce problematiche specifiche alle imprese mediante la presenza di un maggior numero di crediti dedicato all'ambito aziendale, con la presenza di insegnamenti quali Marketing, Gestione dell'innovazione, Gestione delle imprese commerciali. Integra, inoltre, le tematiche della Politica economica e industriale con quelli del management.
Lo studente iscritto al curriculum Professione e Lavoro approfondisce i temi legati al mondo delle professioni contabili tra cui, in ambito giuridico, il Diritto tributario, il Diritto fallimentare e il Diritto del lavoro, e in ambito aziendale, la Ragioneria Professionale e la Comunicazione economico-finanziaria del bilancio di esercizio.
Infine, lo studente iscritto al curriculum Giurista d’Impresa può approfondire tematiche giuridiche con particolare riferimento al Diritto Privato Comparato, al Diritto Commerciale Europeo e al Diritto Amministrativo.
Sbocchi professionali
Il laureato acquisisce le metodologie e le competenze appropriate per interpretare e gestire le dinamiche aziendali ed implementare soluzioni di gestione e controllo all’interno di contesti competitivi, caratterizzati da rapidi processi di innovazione tecnologica. Può quindi bene inserirsi come operatore in imprese multinazionali e nelle PMI innovative, con le qualifiche, tra l'altro, di analista di settore, business developer ed esperto in strategia aziendale, consulente d'impresa, technology auditor, manager dei diritti di proprietà intellettuale, esperto in trasferimento tecnologico e in attività di approvvigionamento (SCM).
Attraverso un'offerta didattica fortemente interdisciplinare, il Corso prepara anche figure professionali in grado di operare nell'area della consulenza aziendale, in particolare, nell'ambito della libera professione, come esperti contabili, consulenti del lavoro e giuristi d'impresa. Un facile inserimento va evidenziato, altresì, nelle aree gestionali d'azienda, in particolare in quelle operative, di controllo ed in quella delle risorse umane.

La statistica economica Tra i compiti della statistica economica c’è quello di sviluppare concetti, definizioni, classificazioni e metodi per produrre informazioni statistiche che descrivano lo stato e l’andamento, nel tempo e nello spazio, dei fenomeni economici. Tali informazioni sono impiegate per analizzare i comportamenti degli operatori economici, effettuare previsioni sulla dinamica degli aggregati economici, prendere decisioni di politica economica ed aziendale, valutare pro e contro di investimenti alternativi, ecc. Le misure delle variazioni dei prezzi nel tempo e nello spazio, della produzione, della partecipazione del fattore lavoro al processo produttivo, nonché quelle relative ai principali aggregati macroeconomici (prodotto interno lordo, reddito nazionale, risparmio, ecc.) e alla produttività dei fattori produttivi costituiscono tutti esempi di temi trattati dalla Statistica economica. La misura dei fenomeni economici è necessariamente basata su convenzioni, a loro volta influenzate dalle teorie economiche dominanti. Vista l’esigenza di disporre, per fini di analisi, disegno e valutazione delle politiche, di dati confrontabili nel tempo e nello spazio, le definizioni e le classificazioni sono sempre più condivise in sede internazionale ed è su questa base che gli istituti statistici nazionali predispongono un sistema informativo dei fenomeni economici (e non solo) qualitativamente valido. A sua volta, l’utilizzatore finale deve essere in grado di leggere le informazioni disponibili e interpretarle correttamente, il che comporta la conoscenza di come le informazioni sono elaborate e il loro significato. Obiettivo e argomenti del corso Obiettivo del corso di statistica economica è quello di fornire allo studente le conoscenze di carattere teorico e pratico per metterlo in grado di usare al meglio l’informazione statistica ufficiale disponibile sui fenomeni economici. Di conseguenza, agli studenti viene richiesta non solo la frequenza alle lezioni, ma anche una attività di utilizzazione pratica delle informazioni esistenti e di presentazione agli altri studenti dei risultati di tali approfondimenti. In questo modo, lo studente apprenderà anche come utilizzare le principali banche dati disponibili a livello nazionale ed internazionale, nonché a presentare correttamente le informazioni statistiche di carattere economico. GENERAL PART: Constitutional principles; effectiveness, application and interpretation of the tax law; birth and implementation of the tax obligation; active and passive tax subjectivity; the assessment (procedure and methods), collection, reimbursement, administrative tax penalties; the tax process. SPECIAL PART: The principles of direct taxes. Irpef, income categories, IRES (excluding the taxation of corporate transactions) and VAT.
The course is divided into several parts, the first one dedicated to the examination of the legal institutes of Intellectual Property and the second one reserved for practical group work. In particular, the following topics will be dealt with and explored in depth: - Distinctive signs, such as the trademark, company, sign and domain name; - Inventions and models; - Know-how; - Copyright protection; - Software; - Databases; - Patent licensing or assignment contracts; - NFTs; - App; - Works created by artificial intelligence.
The program aims to: 1) the study of the contracts used by the Public Administration, as regulated by the rules of private law and the rules of the public contracts code, and is divided into the following parts: - The contract in general and its formation, the essential and accidental elements, the nullity and annulability of the contract, the termination, the concept of supply in the light of the rules of private law, consensual and real contracts, contracts with real effects and for obligatory purposes, the concept of delivery of goods as a performance subject to an obligation to "do", the concept of delivery of goods as an act of transfer of ownership, transfer payment. - Typical contracts in the civil code, sale, carryover, exchange, appraisal contract, administration, leasing and rent, deposit, loan, mortgage, company contract, typical contracts in the laws specials, subcontracting, franchising, leasing, sales concessions. 2) The essential concepts and main innovations of the new public contracts code, in light of its latest reform (Legislative Decree 36/2023). In particular: the preparatory aspects for the tender, the Anac, the Consip, the supply system, the tender procedure, the award. 3) Cybersecurity, data protection and privacy: conceptual and operational aspects; the reference legislation; the Digital Administration Code; IT systems; the legal-regulatory component of data protection, privacy and cybersecurity; the prevention and defense of cyber risks; cybersecurity and data protection management in the PA.

The course will address various topics, such as: 1) the principles and the sources of E.U. labour law; 2) the relationship between E.U. law and national law; 3) the free movement of employees; 4) occupational hygiene and safety; 5) equal treatment and prohibitions of discrimination; 6) the harmonization of the legislation of the member states in the area of employment relationship; 7) workers participation in management. Each topic will be addressed taking into consideration: the EU regulatory framework, the guidelines of the Court of Justice, the transposition at national level of EU law, the orientation of national courts. Particular attention will be given to the impact of EU labour law on internal labour law. The course will try to evaluate both the extent to which EU law has changed the domestic law and the methods (law, collective agreement ...) with which it has been implemented.

The teaching program aims to introduce students to comparative private law and explain them in a synchronic and diachronic prospective the role of the law in the social, economic and political matter, along with the interaction between legal systems in the European and global market. Actually, the basic knowledge of comparative methodologies is necessary for understanding the contract law of the traditional legal systems – English, French and German. A special attention is paid to the uniformization process due to the globalization and the European integration. The course introduction concerns on the explanation of the comparative law methodology and taxonomy, with an emphasis on legal formants and legal transplants in Europe and in the world. The general part is dedicated to law harmonization and unification in EU and the rest of the world. This is the hothouse from which contemporary and future law are stemming; therefore, their single features, such as technicalities and language, need to be analyzed, i.e. Draft Common Frame of Reference, Unidroit Principles and acquis communautaire in contract law. Finally, students will approach some issues on contract law extremely relevant as for instance conclusion of the contract, consumer protection, consideration causa and Geschäftsgrundlage, trust.

Programma Aggiornato A.A. 2014-2015 ECONOMIA E GESTIONE DELLA INNOVAZIONE Prof. Corrado Cerruti Parte generale del programma: I FONDAMENTI Il corso si propone di fornire un quadro applicativo della gestione aziendale tra vecchio e nuovo e di fornire agli studenti gli strumenti per la comprensione di come si innesta il cambiamento nell’ambito dei principali processi e funzioni dell’impresa. Dopo un inquadramento generale dei processi innovativi e della loro influenza sulla competitività aziendale, si analizzano le innovazioni nei processi di sviluppo di nuovi prodotti, le innovazioni tecnologiche nella produzione, le innovazioni nelle relazioni con i fornitori, la gestione della qualità e le prospettive dell’integrazione gestionale, nella gestione dei servizi informativi integrati. Per poter affrontare adeguatamente tematiche così vaste in una chiave di innovazione, saranno prescelti alcuni temi di approfondimento ed esperienze aziendali. La parte generale del corso di Economia e gestione dell’Innovazione si incentra sui seguenti temi: La gestione dell’innovazione (in generale) L’innovazione e lo sviluppo prodotti L’innovazione nella produzione L’innovazione nella supply chain/logistica L’innovazione nella gestione – qualità e ambiente L’innovazione nel sistema informativo Il testo di riferimento del modulo è: M.
